Deal Details and Trading Structure

The company sold more than 177.9 million American Depositary Receipts (ADRs) at $149 per share — a structure that allows U.S. investors to participate at one-tenth the cost of a share on the Seoul Stock Exchange. SK Hynix began trading on the Nasdaq on Friday, July 10, 2025, under the temporary ticker SKHYV, with official trading set to launch on Monday, July 13, under the permanent ticker SKHY.

The offering proved far more compelling than many analysts had anticipated. Shares opened 14% above the offering price on the first day of trading, and demand exceeded supply by more than seven times. This is particularly noteworthy given what is known as the "Korea discount" — the longstanding phenomenon whereby Korean companies are valued at a lower multiple than their global peers due to governance concerns and geopolitical risk. SK Hynix bucked that trend entirely, pricing its shares at a 2.7% premium over its average trading price in Seoul.

The answer comes down to two words: HBM memory. The company manufactures High-Bandwidth Memory, the critical component inside AI graphics processors. Where Will the Proceeds Go?

According to official offering documents, the proceeds will be allocated across three strategic priorities:

• Construction of a new chip fabrication plant in South Korea to address the global shortage of AI memory.
• Building an advanced domestic packaging facility to support existing production lines.
• Investment in extreme ultraviolet (EUV) scanners — the essential machines for manufacturing the next generation of advanced chips.

U.S. Pressure to Shift Production Onshore

In a move rich with symbolic timing, U.S. Commerce Secretary Howard Lutnick attended an event for American chipmaker Micron and sent a clear message to the Korean chip industry: Washington wants fabs on its soil. Lutnick revealed that his administration is already in negotiations with both Samsung and SK Hynix to establish new manufacturing facilities in the United States, with the goal of breaking Korea's dominance over this strategically vital sector.

In the same vein, Micron announced a commitment to invest $250 billion in U.S. manufacturing, with projections of creating more than 90,000 jobs. However, the fundamental challenge is that Samsung and SK Hynix have together announced investments exceeding $550 billion in domestic infrastructure within South Korea, complicating Washington's efforts to redirect those capital flows toward American shores.
